These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Subscriber", "you") and Subspecialty Inc. ("Company", "we", "us", "our") regarding your access to and use of the Subspecialty medical education platform and related services.
By creating an account, accessing our platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our services.
Eligibility and Account Requirements
Our services are intended for qualified medical professionals and students. By using our platform, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into this agreement
- You are a medical professional, medical student, or healthcare professional in training
- You will use our services solely for educational and professional development purposes
- You have provided accurate and complete registration information
- You are not prohibited from using our services under applicable laws
We reserve the right to verify your professional credentials and may require documentation to confirm your eligibility to use our services.

Subspecialty provides educational content, assessment tools, and study resources designed to support medical professionals and students in their exam preparation and continuing medical education. You acknowledge and agree that:
Educational Purpose Only
- All content is provided solely for educational and informational purposes
- Our platform is designed for exam preparation and medical knowledge assessment
- Content should be used in conjunction with standard medical education and training
- Our services do not replace formal medical education, residency training, or continuing medical education requirements
No Medical Advice
- We do not provide medical advice, diagnosis, treatment recommendations, or clinical guidance
- Content should never be used as a substitute for professional medical judgment or patient care decisions
- Always consult with qualified healthcare professionals for medical advice and patient care
- Our Consult feature provides educational information only, not clinical recommendations
No Guarantees
- We make no guarantees regarding exam success, board certification, or professional competency
- Individual results may vary based on study habits, prior knowledge, and other factors
- Our content reflects current medical knowledge but may not be complete or current in all areas
- Users are responsible for verifying information through authoritative medical sources
User Accounts, Security, and Responsibilities
Account Creation and Maintenance
When creating and maintaining your account, you agree to:
- Provide accurate, complete, and current registration information
- Promptly update your account information when changes occur
- Maintain one account per individual (no multiple or shared accounts)
- Use your real name and professional credentials
- Verify your email address and maintain access to your registered email
Account Security
- Create a strong, unique password and keep it confidential
- Enable two-factor authentication when available
- Never share your login credentials with any third party
- Log out from shared or public devices after use
- Immediately notify us of any unauthorized access or security breaches
- Accept full responsibility for all activities under your account
Acceptable Use
- Use the platform solely for legitimate educational and professional development purposes
- Comply with all applicable laws, regulations, and professional standards
- Respect the intellectual property rights of Subspecialty and third parties
- Maintain professional conduct in all interactions with our platform and other users
- Use the Consult feature responsibly and for educational purposes only
Subscription Services and Payment Terms
Subscription Plans and Pricing
- We offer multiple subscription tiers with varying features, content access, and pricing
- Subscription fees are billed in advance on a monthly or annual basis as selected during registration
- Prices are displayed in USD and may vary by geographic location due to local taxes and regulations
- We reserve the right to modify subscription pricing with 30 days advance notice to existing subscribers
- Free trial periods may be offered at our discretion and are subject to specific terms
Payment Processing and Authorization
- Payments are processed securely through PCI-compliant third-party payment processors
- By providing payment information, you authorize automatic recurring charges for your subscription
- You must provide current, complete, and accurate payment and billing information
- You must promptly update payment information if your payment method expires or changes
- All transactions are subject to verification and approval by your financial institution
Billing and Renewal
- Subscriptions automatically renew at the end of each billing period unless cancelled
- Renewal charges will be processed using your stored payment method
- We will attempt to notify you before processing renewal charges
- Failed payments may result in temporary suspension or termination of your account

Cancellation and Refunds

- Cancellation takes effect at the end of your current billing period

- We do not provide refunds for partial months or unused portions of annual subscriptions

- Chargebacks or payment disputes may result in immediate account suspension

Intellectual Property Rights and Usage
Our Intellectual Property

- Educational content, study guides, and flashcards
- AI-generated content and chat responses
- Software, algorithms, and platform functionality
- Trademarks, logos, brand names, and design elements
- User interface designs and user experience elements
- Analytics, data models, and assessment methodologies
Permitted Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:
- Access and use our platform for personal educational purposes during your subscription period
- View, download, and print limited portions of content for your personal study use
- Create personal notes and annotations related to our educational content
Prohibited Activities
You expressly agree not to:
- Copy, reproduce, distribute, sell, or license our content to third parties

User-Generated Content
If you submit content to our platform (such as questions, feedback, or suggestions), you grant us a perpetual, worldwide, royalty-free license to use, modify, and distribute such content for platform improvement and educational purposes.
DMCA and Copyright Protection
We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe your copyrighted work has been infringed, contact our copyright agent at legal@subspecialty.com with detailed information about the alleged infringement.
Prohibited Conduct and Platform Abuse
To maintain a safe, secure, and effective learning environment, you expressly agree not to engage in any of the following prohibited activities:
Legal and Regulatory Violations
- Use the platform in violation of any applicable federal, state, local, or international laws
- Violate professional medical ethics, standards, or licensing requirements
- Engage in activities that could result in civil or criminal liability
- Use the platform for fraudulent, deceptive, or misleading purposes
Security and Technical Abuse
- Attempt to gain unauthorized access to our systems, databases, or other users' accounts
- Interfere with, disrupt, or compromise the platform's operation, security, or performance
- Upload, transmit, or distribute malicious code, viruses, malware, or harmful content
- Use automated tools, bots, or scripts to access or interact with our platform
- Attempt to bypass security measures, rate limits, or access controls
- Probe, scan, or test vulnerabilities of our systems or networks
Content and Behavioral Violations
- Engage in harassment, discrimination, or inappropriate behavior toward other users or staff
- Post, transmit, or share offensive, defamatory, or inappropriate content
- Misrepresent your identity, credentials, or institutional affiliation
- Impersonate any person, entity, or organization
- Use the platform to spam, solicit, or promote unrelated products or services
Academic and Professional Misconduct
- Use our platform or content to cheat on actual medical examinations or assessments
- Share examination content or questions outside our platform
- Attempt to game or manipulate our assessment algorithms or scoring systems
- Create or distribute unauthorized copies of our educational materials
- Use our Consult feature to generate content for submission as your own work
Violation of these prohibited conduct rules may result in immediate account suspension or termination, reporting to appropriate authorities, and legal action where applicable.
Service Availability and Modifications
Service Availability
- We strive to provide continuous service availability but cannot guarantee uninterrupted access
- Scheduled maintenance may temporarily limit platform access with advance notice when possible
- We are not liable for service interruptions due to technical issues, third-party failures, or force majeure events
- Service availability may vary by geographic location and local internet infrastructure
Platform Modifications
- We may modify, update, or discontinue features, content, or services at our discretion
- Significant changes affecting core functionality will be communicated with reasonable advance notice
- We may add new features, improve existing functionality, or modify user interfaces without notice
- Content updates, including new questions and educational materials, may occur regularly
Third-Party Integrations
- Our platform may integrate with third-party services, which are subject to their own terms
- We are not responsible for the availability, functionality, or terms of third-party services
- Changes to third-party integrations may affect platform functionality
Disclaimers and Limitation of Liability

- Warranties regarding the accuracy, reliability, or completeness of content
- Warranties of uninterrupted, timely, secure, or error-free service
- Warranties that defects will be corrected or that our service is free of harmful components
- Warranties regarding exam success, medical competency, or professional certification
Limitation of Liability
To the maximum extent permitted by applicable law, Subspecialty Inc., its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or business opportunities
- Any damages arising from your use or inability to use our services
- Any damages resulting from errors, interruptions, or delays in service
- Any damages arising from third-party content or services
- Any damages exceeding the amount you paid to us in the 12 months preceding the claim
Professional Responsibility
You acknowledge that medical practice requires professional judgment, and our educational content cannot replace your professional training, experience, and decision-making responsibilities. You remain solely responsible for your professional conduct and medical decisions.
Geographic Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Subspecialty Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:
- Your use or misuse of our platform and services
- Your violation of these Terms or any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any content you submit, post, or transmit through our platform
- Your professional practice and medical decisions
- Any negligent or wrongful conduct on your part
This indemnification obligation will survive termination of your account and these Terms.
Dispute Resolution and Governing Law
Governing Law
These Terms and your use of our services are governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to its conflict of law provisions.
Jurisdiction and Venue
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Boston, Massachusetts, and you hereby consent to personal jurisdiction and venue therein.
Informal Resolution
Before filing any formal legal action, you agree to first contact us at legal@subspecialty.com to attempt to resolve any dispute informally. We will work in good faith to resolve any legitimate concerns.
Limitation Period
Any claim or cause of action arising out of or related to your use of our services must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.
Account Termination and Suspension
Termination by You
- You may terminate your account at any time through your account settings
- Account termination does not automatically cancel active subscriptions
- You must separately cancel your subscription to avoid future charges
- Termination does not entitle you to refunds for unused subscription periods
Termination by Us
We may terminate or suspend your account immediately, without prior notice, for:
- Violation of these Terms of Service or our policies
- Suspected fraudulent, abusive, or illegal activity
- Failure to pay subscription fees or other charges
- Extended periods of account inactivity (over 2 years)
- Technical or security reasons that threaten platform integrity
- Legal requirements or regulatory compliance
Effects of Termination
- Immediate cessation of your right to access and use our services
- Cancellation of active subscriptions and billing
- Deletion of account data in accordance with our data retention policies
- Forfeiture of any unused subscription benefits or credits
- Continued application of these Terms to any remaining obligations
Data Recovery
Upon termination, you will have 30 days to export your personal study data. After this period, data may be permanently deleted and cannot be recovered.
General Provisions
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without consent or notice to you.
Waiver
Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by our authorized representative.
Entire Agreement
These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and us regarding your use of our services and supersede all prior agreements.
Force Majeure
We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including natural disasters, acts of war, terrorism, strikes, or internet infrastructure failures.
Survival
Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution will survive termination of these Terms.
Changes and Updates to Terms
Modification Rights
We reserve the right to modify, update, or revise these Terms of Service at any time at our sole discretion. Modifications may be necessary due to legal requirements, platform changes, new features, or business needs.
Notification of Changes
- Material changes will be communicated via email to your registered address
- Notice may also be provided through platform notifications or announcements
- Significant changes will be provided with at least 30 days advance notice
- Minor changes may be posted without advance notice
Acceptance of Changes
Continued use of our services after any modification constitutes your acceptance of the updated Terms. If you disagree with changes, you must discontinue use and may terminate your account.
